Terms & Conditions
1. Scope of Work & Refinements
All quotes are based on the agreed scope of work. Each quote includes a reasonable allowance for refinements, equivalent to up to 15% of the quoted value.
Any work beyond this allowance, or any material change to the agreed scope, will be discussed and approved in writing before proceeding and may be subject to additional fees.
2. Timelines & Client Responsibilities
Indicative timelines are provided in good faith and assume timely client feedback, approvals, and provision of all required content and materials.
Delays in feedback, approvals, or asset delivery may impact agreed timelines. PIPES. Studio Ltd. is not responsible for delays caused by the client or third parties.
3. Fees, Invoicing & Payment
Unless otherwise agreed in writing, invoices are issued upon final delivery of the agreed deliverables.
Payment is due within 30 days of the invoice date. Late payments may result in delays to delivery or suspension of services.
4. Cancellation & Termination
Either party may terminate a project by providing written notice.
In the event of cancellation, the client will be invoiced for all work completed up to the cancellation date, capped at the quoted value unless otherwise agreed in writing.
5. Ownership & Usage Rights
Ownership of final deliverables transfers to the client once full payment has been received.
Unless otherwise agreed in writing, source files, working files, and internal documents remain the property of PIPES. Studio Ltd. and are not included in the final deliverables.
6. Client-Supplied Content
The client is responsible for supplying accurate content, assets, and instructions, and for reviewing and approving deliverables.
Final responsibility for the accuracy and legality of content rests with the client.
7. Confidentiality
Both parties agree to keep non-public project information confidential, unless disclosure is required by law or agreed otherwise in writing.
8. Liability
PIPES. Studio Ltd. is not liable for any loss, damages, or claims arising from the use of the final deliverables.
The client is responsible for ensuring that deliverables comply with applicable laws, regulations, and third-party rights.
9. Portfolio & Promotion
Unless requested otherwise in writing, PIPES. Studio Ltd. may feature publicly available aspects of the project for portfolio, marketing, and promotional purposes.
10. Force Majeure
PIPES. Studio Ltd. is not liable for delays or failure to perform resulting from circumstances beyond reasonable control, including but not limited to supplier delays, technical failures, or acts of God.
